Understanding your Sale and Purchase Agreement and NZRET deposit protection
The Sale and Purchase Agreement is the legal backbone of every property transaction in New Zealand. Whether you're buying or selling, understanding its key clauses — and where your deposit actually goes — matters.
The standard agreement
Most residential sales in New Zealand use the ADLS/REINZ standard form Sale and Purchase Agreement. It's a well-tested document, but it's dense, and the standard clauses interact with any special conditions specific to your sale — finance, builder's report, LIM, or sale of another property, for example. We always recommend independent legal advice before you sign, whichever side of the transaction you're on.
Key clauses to understand
● Conditions clauses — what needs to happen, and by when, for the agreement to become unconditional.
● Settlement date — when ownership and possession actually transfer.
● Chattels list — exactly what's included in the sale (and what isn't).
● Warranties — statements the vendor makes about the property, such as compliance with the Building Act and consented work.
Where does your deposit actually go?
This is one of the most common questions we get from both buyers and sellers. Deposits on sales we manage are lodged with the New Zealand Real Estate Trust (NZRET), an independent, regulated trust account system — not held directly by the agency. This means your deposit sits safely in trust, separate from agency funds, until the conditions for its release under the agreement are met.
Why this matters
Trust account handling is one of the most heavily regulated parts of real estate practice in New Zealand under the Real Estate Agents Act 2008 and its associated rules. Using an independent trust system like NZRET adds a further layer of separation and protection — your money isn't sitting in the agency's own bank account.
